1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Komplian is an AI-native business platform. It brings together an AI agent that serves the business's customers on their channels from the business's own knowledge; a Smart Inbox with the conversations from those channels and email; contacts and a sales pipeline; operations (sales, purchases and inventory); and Komplian Intelligence, a copilot that works across the whole workspace and proposes actions the user confirms. The Service integrates with messaging, email, e-commerce and other third-party platforms.

3. Beta features

Some features of the Service may be offered marked as "Beta". For those features:

• They are provided on an "as is" and "as available" basis
• They may be added, modified, or removed without prior notice
• We do not guarantee that they will be error-free or uninterrupted
• The edition that includes them and their terms may change when they leave beta
• We may collect additional feedback and usage data to improve the product

4. User Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for:

• Safeguarding the password you use to access the Service
• Any activities or actions under your password
• Notifying us immediately upon becoming aware of any breach of security or unauthorized use of your account
• Ensuring that you exit from your account at the end of each session

5. Acceptable Use

You agree not to use the Service:

• In any way that violates any applicable national or international law or regulation
• To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
• To impersonate or attempt to impersonate Komplian, a Komplian employee, another user, or any other person or entity
• In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service

6. AI-Generated Content & Liability

Komplian utilizes Artificial Intelligence (AI) to generate responses and conduct conversations with your customers. You acknowledge and agree that:

• AI-generated content may occasionally be inaccurate, incomplete, or inappropriate
• You are responsible for monitoring and reviewing AI conversations
• You must configure the AI's behavior, guidelines, and limitations appropriately for your business
• Komplian is not liable for any business losses, missed opportunities, reputational damage, or other harm resulting from AI-generated conversations
• You should implement appropriate human oversight, especially for high-value or sensitive interactions

7. Commercial Documents

The Operations module lets you create quotes, orders and delivery notes, and record payments. You acknowledge and agree that:

• Komplian does not issue invoices and does not send billing records to any tax authority. You issue invoices with your own invoicing software; Komplian can record their details so payments can be tracked against them
• Komplian is a document-management tool: it does not determine VAT or any other applicable tax, accounting treatment, or the invoicing and filing obligations that apply to your activity, your country or your tax regime
• The business details printed on a document are the ones you declare in the workspace, and you are responsible for their accuracy and for keeping them current
• You are responsible for reviewing the content of every document before sending it and for retaining it as required by the rules that apply to you
• Komplian is not a substitute for your accounting, tax or legal advisers, and provides no advice of any of those kinds

8. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Komplian AI Solutions, S.L. and its licensors. The Service is protected by copyright, trademark, and other applicable laws.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Komplian AI Solutions, S.L.

9. User Content

Our Service may allow you to post, link, store, share and otherwise make available certain information, text, graphics, or other material ("Content"). You are responsible for the Content that you post on or through the Service, including its legality, reliability, and appropriateness.

By posting Content on or through the Service, you grant us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Service for the purpose of providing the Service to you and other users.

Where that Content includes your customers’ personal data, you are the controller and we are the processor. That relationship is governed by article 28 GDPR and set out in our Data Processing Agreement, which forms part of these Terms and covers purposes, security measures, subprocessors, and retention and return periods.

10. Payment Terms

If you register for a paid subscription:

• You agree to pay all fees or charges to your account based on the pricing in effect at the time the charges were incurred
• Fees are non-refundable except as required by law or as explicitly stated in these Terms
• We use Stripe for payment processing and do not store your payment information
• You authorize us to charge your payment method on a recurring basis until you cancel your subscription
• We reserve the right to change our pricing with 30 days' notice to existing customers

11. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Limitation of Liability

In no event shall Komplian AI Solutions, S.L., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

13. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

14. Governing Law

These Terms are governed by Spanish law. Any dispute falls to the courts of Madrid, Spain, without prejudice to the forum the law reserves for consumers, who in any case keep the right to bring proceedings before the courts of their place of residence.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

15. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
